These Terms and Conditions ("Terms") govern your access to and use of the website, mobile applications, and services (collectively, the "Services") provided by Woreto Private Limited ("Woreto", "we", "us", or "our"), a company incorporated under the Ministry of Corporate Affairs, India, and recognised by DPIIT under Startup India. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Acceptance of Terms

By creating an account, accessing our website at woreto.com, downloading or using our mobile applications on iOS , or otherwise using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy, which are incorporated herein by reference.

If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

2. Eligibility

You must be at least 13 years of age to use the Services. If you are under 18, you must have the consent of a parent or legal guardian. By using the Services, you represent and warrant that you meet these eligibility requirements.

3. Account Registration & Security

Certain features of the Services may require you to create an account. When you register, you agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain and promptly update your account information to keep it accurate and complete.
• Keep your login credentials confidential and not share them with any third party.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately at contact@woreto.com if you suspect any unauthorised access to or use of your account.

We reserve the right to suspend or terminate accounts that are found to be in violation of these Terms or that have been inactive for an extended period.

4. Description of Services

Woreto is an AI-powered fashion intelligence platform that provides:

• Real-time price comparison - Aggregating and comparing fashion product listings across major Indian e-commerce platforms including Myntra, Amazon, Flipkart, AJIO, and others.
• ML-driven personalisation - Outfit recommendations calibrated to your body profile, style preferences, and wardrobe.
• Smart wardrobe management - Allowing you to upload, tag, organise, and analyse your clothing items.
• AI virtual try-on (coming Q4 2026) - A generative AI feature that will render garments on your body from a single uploaded photo using diffusion models and computer vision.

The Services are provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice, and without liability to you.

5. User Content & Uploads

When you upload photographs, wardrobe items, body measurements, or other content ("User Content") to the Services, you retain ownership of that content. However, by uploading User Content, you grant Woreto a non-exclusive, worldwide, royalty-free licence to use, process, store, and display that content solely for the purpose of providing the Services to you (e.g., generating virtual try-on renders, providing outfit recommendations).

You represent and warrant that:

• You own or have the necessary rights and permissions to upload the User Content.
• Your User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party.
• Your User Content does not contain unlawful, harmful, abusive, or objectionable material.

We do not share your photographs, body measurements, or wardrobe data with third parties for advertising or profiling purposes. See our Privacy Policy for full details on data handling.

6. Intellectual Property Rights

All content on the Woreto platform - including but not limited to text, graphics, images, logos, UI/UX design, animations, videos, software, AI models, algorithms, code, and documentation - is the intellectual property of Woreto Private Limited or its licensors and is protected by Indian and international copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, transmit, reverse-engineer, decompile, or exploit any part of the Services or its content without prior written consent from Woreto, except as expressly permitted by these Terms or applicable law.

7. Prohibited Conduct

You agree not to use the Services to:

• Violate any applicable local, state, national, or international law or regulation.
• Infringe upon the intellectual property, privacy, or other rights of any third party.
• Upload or transmit viruses, malware, or any other malicious code.
• Attempt to gain unauthorised access to our systems, servers, or other users' accounts.
• Scrape, crawl, or use automated tools to extract data from the platform without our express written permission.
• Interfere with or disrupt the integrity or performance of the Services.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Use the Services for any commercial purpose not expressly permitted by Woreto.
• Circumvent, disable, or interfere with security-related features of the Services.

8. Third-Party Links & Services

The Services may contain links to third-party websites, applications, or services that are not owned or controlled by Woreto (for example, links to fashion retailers like Myntra, Amazon, or Flipkart). When you click on a link to a third-party site, you leave the Woreto platform and are subject to that third party's terms and privacy policy.

We are not responsible for the content, accuracy, reliability, privacy practices, or availability of any third-party websites or services. Inclusion of any link does not imply endorsement by Woreto.

9. Pricing & Payment

The Woreto platform is currently free to use for all features available on iOS. If we introduce paid features, subscriptions, or premium tiers in the future, we will clearly communicate the pricing, billing terms, and cancellation policy before you are charged. You will always have the opportunity to review and accept the terms of any paid service before purchase.

10. Accuracy of Information

While we make reasonable efforts to ensure that product information, prices, and availability data displayed through our price comparison engine are accurate and up to date, this information is sourced from third-party retailers and may change without notice. Woreto does not guarantee the accuracy, completeness, or timeliness of such information. Always verify product details, prices, and availability directly on the retailer's website before making a purchase.

11. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant that the results obtained from the use of the Services (including AI-generated try-on renders, outfit recommendations, or price comparisons) will be accurate or reliable.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Woreto Private Limited, its directors, employees, partners, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, goodwill, or business opportunities, arising out of or related to your use of or inability to use the Services, even if we have been advised of the possibility of such damages.

In no event shall our total liability to you for all claims arising from or related to the Services exceed the amount you have paid to Woreto (if any) in the twelve (12) months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Woreto Private Limited, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your access to or use of the Services.
• Your violation of these Terms.
• Your violation of any rights of a third party.
• Any User Content you upload or submit through the Services.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days following written notice of the dispute.

15. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Services will immediately cease.
• We may delete your account and all associated data, subject to our data retention policies described in our Privacy Policy.
• Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Modifications to These Terms

Woreto Private Limited reserves the right to modify or replace these Terms at any time at our sole discretion. When we make changes, we will update the "Last updated" date at the top of this page. If we make material changes, we will provide reasonable notice (such as a prominent notification within the app or on our website) prior to the changes becoming effective.

Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you should discontinue use of the Services.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Woreto regarding the use of the Services and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
